Terms of Service
These Terms of Service (“Terms”) apply to the use of Siema's platform and services. By engaging with Siema, you accept these Terms.
1. Services Description
Siema provides software engineering services under separate written agreements (MSA and/or SOW). All commercial terms are governed exclusively by such agreements.
2. Intellectual Property (IP) Rights
All deliverables are deemed ‘work made for hire’ and are assigned to the Client upon creation. To the extent any rights do not vest automatically, Siema hereby assigns such rights upon creation, subject to payment obligations under the applicable agreement.
- Client Ownership: Client shall own all right, title, and interest in and to deliverables created specifically for Client.
- Assignment: Siema executes binding IP assignment agreements with all personnel to secure chain of title.
- Background IP: Siema retains ownership of its pre-existing tools and methodologies. Client is granted a perpetual license to use Background IP as incorporated into deliverables.
3. Confidentiality
Confidentiality obligations are governed by the applicable NDA or MSA.
